TERMS OF USE
Software platform developed by STRM INOVACAO E PROJETOS MUSICAIS LTDA., registered at
CNPJ/MF under number 23.180.503/0001-91, with headquarters at Rua Roque Petrella, nº 46,
conjunto 902 A, Vila Cordeiro, CEP 04581-050, São Paulo/SP ("STRM").
Thank you for using our services ("Services"). By using our Services, you ("User") agree to these
terms. Please read them carefully.
We ask that you read them carefully and clarify any doubts, as you will enter into a binding
agreement with STRM. If you do not agree or are unable to comply with the provisions of this
document, you should not use the Platform. If you agree to the terms, we appreciate your choice
of STRM. Please note that for certain situations, we will require your consent.
To use STRM's Services, you must (1) have the power to enter a binding contract with us and
not be prohibited by any law from doing so, and (2) be a resident of a country where the Service
is available.
HOW TO USE OUR SERVICES
STRM is a data analytics and artificial intelligence platform that provides business intelligence for
investors (record labels, artist management companies, investment funds interested in investing
in music catalogs, among others) and artists to enhance the outcomes of their investments in
their businesses and careers. It utilizes data and artificial intelligence to assist in investment
decisions in the music industry.
Based on the data provided by artists themselves and streaming platforms such as Spotify,
Youtube, and Instagram, STRM identifies emerging talents in the music market by conducting a
diagnostic analysis using over 400 criteria. This analysis determines the artist's current career
stage and assesses their potential for audience growth.
Based on this performance diagnosis of artists over time, STRM generates a score that
demonstrates the career's potential return weighted by risk. This potential is related to the
artist's alignment with streaming platforms, storytelling, and audience engagement.
The use of our Services does not grant you ownership of any intellectual property rights in our
Services or the content you access. You may not use content from our Services unless you obtain
permission from the owner of such content or are otherwise permitted by law. These terms do
not grant you the right to use any trademarks or logos used in our Services. You shall not remove,
obscure, or alter any legal notices displayed in or along with our Services.
Regarding your use of the Services, we may send you service announcements, administrative
messages, and other information. You may have the option to opt out of some of these
communications.
YOUR ACCOUNT
You will need to have an Account to use our Services, as specified below.
To protect your Account, you must keep your password confidential. Any activity performed on
or through your Account is your responsibility. We do not recommend reusing your Account
password for third-party applications. If you become aware of any unauthorized use of your
password or Account, you must change your password.
The User agrees to use the Platform only as provided for in these Terms of Use. The User also
agrees not to use the Platform in any way that violates the law. As an example, and not
limitation, the User agrees NOT to:
(i) Publish content or items in inappropriate categories or areas on our website and Services,
including but not limited to adult content, explicit content, etc.; (ii) Violate laws, third-party
rights, or our internal policies; (iii) Post false, inaccurate, misleading, defamatory, or offensive
content against the Platform or any user; (iv) Distribute or post unsolicited spam, mass electronic
communications, chain letters, or pyramid schemes; (v) Distribute viruses or any other
technologies that may harm the Platform; (vi) Attempt to modify, translate, adapt, decompile,
disassemble, or reverse-engineer any software program used in connection with the Platform;
(vii) Copy, modify, or distribute STRM's rights or content from the Platform, including copyrights
and trademarks; (viii) collect and/or share any information about other users without their
consent.
LEGAL ENTITY REGISTRATION
Legal entities are required to create an account on the STRM Platform in order to access it.
Upon registration, the legal entity agrees and declares that:
(i) It will not register or use STRM services for any purpose other than as described in these terms
and on the Platform;
(ii) Its registration is subject to verification and confirmation by STRM, and the account will be
activated only upon this confirmation;
(iii) It is responsible for ensuring that the processing of data from the artists to which it has access
is done in accordance with the necessary regulations and laws, including for data deletion and
exportation;
(iv) It will not share any confidential information obtained through the Platform without prior
consent or any legal basis, under penalty of a fine to be determined based on the direct damages
suffered by STRM, without limitation to other damages sought through legal action;
(v) The information provided during the registration process, as specified in the Privacy Policy, is
true, accurate, current, and complete;
(vi) It shall review and update its registration data periodically to ensure that they are always up
to date and accurate.
As the data rightsholder, the artist alone can provide instructions on what to do with their data,
to which the legal entity shall comply and notify STRM to take appropriate measures. All details
on how we collect, store, and process artist data are covered by the STRM platform's Privacy
Policy.
ARTIST REGISTRATION
As an artist registered with STRM, you can access your user account and applicable services.
Upon registration, the artist agrees that:
• Artist is 18 years of age or older or is being represented by a legal guardian.
• Artist is not impersonating another person and is using artist’s real identity.
• Artist’s registration is subject to verification and confirmation by STRM, and artist’s account
will be activated only after confirmation.
• The personal information provided during the registration process is true, accurate, current,
and complete. Artist shall review and update artist’s registration data periodically to ensure
it is always up to date and correct.
• Artist’s username and password are unique to the artist, and artist agrees not to disclose or
share artist’s username and password with any third party. Artist is responsible for keeping
artist’s password confidential and for immediately notifying us if artist’s password has been
hacked or stolen.
• Artist also agrees that artist will be solely responsible for any activities carried out on or
through STRM with artist’s account, whether or not artist is the subject performing such
activities. This includes any unauthorized access and/or use of artist’s account or computer.
Artist releases STRM from any and all claims and causes of action arising from or resulting
from the unauthorized use of artist’s account by third parties.
• STRM reserves the right to deny or revoke access to any user account at its sole discretion.
• Artist will not use any service or information for any purposes other than those described in
these terms and on the platform.
• As an online platform, there may be unforeseen network and infrastructure issues, in which
case it may not be available until the problem is resolved, and STRM shall not be held
responsible for any damages.
• STRM will make every reasonable effort to provide the best services.
PROTECTION OF PRIVACY AND COPYRIGHTS
The Privacy Policy of STRM explains how we handle your personal data and protect your privacy
when you use our Services. By using our Services, you agree that STRM may use your data
according to the Privacy Policy.
The computer programs, files, texts, icons, designs, videos, sounds, trademarks, logos, layouts,
templates, present in the Platform are protected by intellectual property rights of STRM or third
parties who have authorized their use. Therefore, they are protected by laws and international
treaties, and any copying, alteration, reproduction, or any other type of use is prohibited, and
infringers may be subject to corresponding civil and criminal sanctions, in accordance with Laws
No. 9.279/96, No. 9.610/98, and No. 9.609/98. Any violation of Intellectual Property rights may
result, in addition to the imposition of legal responsibilities, in the immediate and without prior
notice blocking of the Company, in which case no amounts will be owed to them.
Furthermore, the trademarks, trade names, or logos of any kind displayed through the Platform
are the property of STRM or a third party who has allowed their use, and the use of the Platform
does not constitute authorization for the User to mention such trademarks, trade names, and
logos.
The Platform may include links to third-party websites and applications. This does not imply,
in any way, that STRM endorses, verifies, guarantees, or has any affiliation with the owners of
these websites or applications, and it is not responsible for their content.
YOUR CONTENT IN OUR SERVICES
Our Services allow you to submit, store, upload, or receive content. You retain ownership of any
intellectual property rights that you hold in that content. In summary, what belongs to you,
remains with you.
You can find more information about how we use and store content in our Privacy Policy. If you
provide us with feedback or suggestions about our Services, we may use your feedback or
suggestions without any obligation to you.
HOW TO MODIFY AND CANCEL OUR SERVICES
We are constantly changing and improving our Services. We may add or remove features or
functionalities, and we may also suspend or terminate a Service in its entirety, or impose new
limitations on our Services at any time, with prior notice to you.
You can stop using our Services at any time, although we'll be sad to see you go. To understand
the process and your rights regarding requesting cancellation, please refer to our Privacy Policy.
We believe that you are the owner of your data and that it's important to preserve your access
to that data. If we discontinue a Service, when reasonably possible, you will be provided with
reasonable advance notice and will have the opportunity to remove your information from
that Service.
OUR WARRANTIES AND DISCLAIMERS
We provide our Services using a commercially reasonable level of skill and care and we hope you
enjoy using them. But there are some things we don't promise about our Services.
Except as expressly stated in these terms or additional terms, neither STRM nor its suppliers or
distributors offer any warranties about the Services rendered. For example, we are not
responsible for the content or quality of the Services, for specific functions of the Services, or
their reliability, availability, or ability to meet your needs. We provide the Services "as is".
Due to system maintenance and improvement, certain functions may be temporarily disabled,
and in such cases, STRM cannot be held responsible for the temporary restriction.
RESPONSABILITY FOR OUR SERVICES
After electronic acceptance of these Terms of Use, users will be able to access the Platform in
accordance with the terms agreed upon, granting access to all tools made available after login
authorization.
STRM guarantees that, during the period of use of the Platform by Users, it will operate regularly
on reasonable grounds, except in the following cases:
● defect arising from misuse of the Platform, due to non-compliance with the provisions
established by STRM, such as lack of internet connection, low battery, or any other
electronic device defect, hardware incompatibility, operating system, insufficient
memory, etc.;
● in the event it is found that the system has been used or breached by unauthorized third
parties, as well as problems arising from procedures not indicated in the technical
manuals, such as hacking, cracking, crawler, mashups;
● problems arising from telecommunications service providers that provide signals for
internet access, considered as fortuitous event and force majeure;
● malfunctioning of equipment caused by server downtime or unavailability where the
SMS Gateway and email sending service are hosted.
ABOUT THESE TERMS
We may modify these terms or any additional terms that apply to a Service to, for example,
reflect changes in the law or changes to our Services. You should review the terms regularly. We
will post notice of modifications to these terms on this page. We will provide notice of material
changes to additional terms within the applicable Service. The changes will not apply
retroactively and will become effective at least five days after they are posted. However, changes
addressing new functions for a Service or changes made for legal reasons will be effective
immediately. If you do not agree to the modified terms for a Service, you should discontinue
your use of that Service.
These terms govern the relationship between STRM and you. They do not create any rights for
third parties.
If you fail to comply with these terms and we do not take immediate action, it does not mean
that we are waiving any rights we may have (such as taking future action).
If any specific provision of these terms is found to be unenforceable, it will not affect any other
terms.
You agree that the laws of Brazil will apply to any disputes arising from or related to these
terms or Services. In all other cases, any claims arising from or related to these terms or Services
will be litigated exclusively in the courts of São Paulo, State of São Paulo, and you and STRM
consent to the personal jurisdiction of these courts.
